Why Verification Is Required

Bighorn Carbon Fund is offered exclusively to accredited investors under Rule 506(c) of Regulation D. Federal securities law requires the Company to take reasonable steps to verify each investor's accredited status before accepting a subscription. Self-certification on the questionnaire is not enough.

The Company accepts two verification methods. This page covers Method A, a written confirmation letter from one of four licensed professional types. If you would prefer a fully automated process, see Method B at the bottom of this page.

Who May Sign the Letter

Only the following four professional types are accepted. Each must be currently licensed and in good standing.

Not eligible: Family members, business partners, financial coaches, tax preparers without a CPA license, paralegals, or any professional whose license is inactive, suspended, or in another jurisdiction without active status.

What the Letter Must Contain

Any letter that omits one of these items will be returned for correction.

  1. Printed on the professional's official letterhead.
  2. Dated within ninety (90) days of submission.
  3. Signed by the professional. Wet signatures and accepted electronic signatures (DocuSign, Dropbox Sign, Adobe) are both acceptable.
  4. Includes the professional's license or registration number.
  5. States that the professional has taken reasonable steps to verify the investor's accredited status.
  6. Identifies the investor by full legal name (or entity name).
  7. Specifies the Rule 501(a) category under which the investor qualifies (income, net worth, professional certification, entity asset test, or other).

Tip: Most professionals can complete this letter in under fifteen minutes if you send them the template and the supporting documentation they need to confirm your status (recent tax returns, brokerage statements, or, for entities, organizational and financial records). Your professional may use the template directly or draft their own letter, provided all seven required elements are present.

How to Deliver the Letter

Submit the signed letter together with your other subscription documents.

The professional may send the letter directly to Bighorn or return it to you to include with your subscription packet. Either is acceptable.

If the letter is incomplete or rejected. If the letter does not meet the requirements above, or if accredited investor status cannot otherwise be verified, the subscription will not be accepted. Subscription funds will be returned in full and the executed subscription documents will be void and of no further force or effect.

If you would rather skip the letter, the Manager can add you to VerifyInvestor.com after we receive your executed documents and subscription funds. You upload supporting documentation directly to the platform and the service issues the verification certificate.
